Key Laws That Determine Who Can Own a Med Spa

1. Corporate Practice of Medicine (CPOM)

CPOM laws prohibit non-physicians from practicing medicine or employing physicians in certain states. This often means a physician must own the clinical entity and non-clinical owners must structure involvement differently.

2. Medical vs. Business Entity Split (MSO Model)

To comply with CPOM, many med spas use a management services organization (MSO) structure, which allows non-physicians to participate financially while staying compliant:

  • Medical entity (physician-owned): Provides clinical services
  • MSO (non-clinical entity): Handles operations like marketing, staffing, billing

3. Scope of Practice Laws
